These terms govern your use of datagist.ai. They are short because the site is simple: it describes what we do and gives you a way to reach us. Consulting work is governed by a separate written agreement.
Agreement to these terms
This website is operated by Datagist LLC ("Datagist," "we," "us"), a Delaware limited liability company with its principal place of business in Alpharetta, Georgia. By accessing or using datagist.ai (the "Site"), you agree to these Terms of Use and to our Privacy Policy, which explains how we handle personal information. If you do not agree, please do not use the Site. If you use the Site on behalf of a company, you represent that you are authorized to bind it, and "you" includes that company.
Information only, not advice
The content on the Site, including descriptions of our services, the GIST delivery framework, and any articles or resources we publish, is provided for general information. It is not professional, legal, financial, security, or technical advice for your situation, and it does not create a consulting or advisory relationship. Decisions about your data, systems, or business should be made with advice tailored to your circumstances.
Consulting services
Descriptions of services on the Site are summaries, not offers. Any engagement between you and Datagist is governed exclusively by a signed statement of work, master services agreement, or other written contract. Where those documents conflict with these terms, the signed contract controls for that engagement.
Intellectual property
The Site and its contents, including text, graphics, page design, logos, the Datagist name and wordmark, the "through-line" mark, the GIST framework name and materials, and underlying code, are owned by Datagist or its licensors and protected by copyright, trademark, and other laws. You may view, download, and print pages for your own internal, non-commercial evaluation of our services, provided you keep all notices intact. Any other use, including reproducing, republishing, distributing, modifying, or creating derivative works from Site content, or using our names or marks to imply endorsement, requires our prior written permission. Nothing on the Site grants you a license to any Datagist intellectual property except as stated in this section.
Third-party names, logos, and marks mentioned on the Site belong to their respective owners and are used for identification only.
Acceptable use
You agree not to:
- Use the Site in a way that violates any law or regulation, or that infringes the rights of others.
- Attempt to gain unauthorized access to the Site, its hosting infrastructure, or any related systems, or probe, scan, or test their vulnerability without our written authorization.
- Interfere with the Site's operation, including by introducing malicious code, overloading infrastructure, or circumventing security or bot-protection measures.
- Scrape, crawl, or harvest content or contact information from the Site by automated means beyond what our
robots.txtpermits, or use Site content to train machine learning models without our written permission. - Submit false, misleading, defamatory, or unlawful content through the contact form, or use it to send unsolicited commercial messages.
- Impersonate any person or entity or misrepresent your affiliation.
We may suspend or block access to the Site, without notice, for conduct we reasonably believe violates these terms.
Inquiries and submissions
When you send us an inquiry, you grant us permission to use the information you provide to respond to you and to evaluate a potential engagement, as described in our Privacy Policy. Do not send confidential or proprietary information through the contact form. Until a written confidentiality agreement is in place, we cannot accept an obligation of confidence for unsolicited material, though we treat inquiries with professional discretion.
Third-party links and tools
The Site links to third-party websites, such as LinkedIn, and uses third-party services to operate, such as Cloudflare, Google, and HubSpot. We do not control those sites or services and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms and policies.
Disclaimers
The Site is provided "as is" and "as available." To the fullest extent permitted by law, Datagist disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We work to keep the Site accurate and current but do not guarantee that it is, and we may change or remove content at any time without notice.
Limitation of liability
To the fullest extent permitted by law, Datagist and its members, managers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Site, even if we have been advised of the possibility of such damages. Our total liability for all claims relating to the Site will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these terms limits liability that cannot be limited by law.
Indemnification
You agree to indemnify and hold harmless Datagist and the persons listed above from claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from your violation of these terms or your misuse of the Site.
Governing law and disputes
These terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the Site will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to their jurisdiction and venue. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. If you are a consumer in a jurisdiction whose law gives you the right to bring claims in your local courts, nothing here removes that right.
General
We may revise these terms at any time by posting an updated version on the Site with a new "last updated" date; your continued use after that date constitutes acceptance. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between you and Datagist regarding the Site, and you may not assign them without our consent. Sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive any termination of your use of the Site.
